Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of the Ividiyo software and related services ("Service") provided by Meridian Technology Solutions (Pty) Ltd ("Company", "we", "us"), a company registered in the Republic of South Africa. By purchasing, installing, or using the Service, you agree to be bound by these Terms.
2. License
We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with the tier you have purchased or registered for. The license is bound to a single installation unless your tier includes multi-server support.
- Free tier: Up to 10 cameras, core features, single server.
- Home tier: Up to 10 cameras, all features including AI detection, LPR, analytics, and mobile app.
- Professional and Enterprise tiers: Unlimited cameras as specified in your license agreement.
3. Account Registration
When you register for the Service, you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials and license key. You must notify us immediately of any unauthorized access to your account.
4. Payment and Subscriptions
Paid tiers are billed annually. Payment is processed through our authorized payment partner. By subscribing, you authorize recurring charges at the then-current rate. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
Prices are quoted in US Dollars (USD) unless otherwise specified. We reserve the right to change pricing with 30 days' written notice.
5. Acceptable Use
You may not:
- Reverse engineer, decompile, or disassemble the software
- Redistribute, sublicense, rent, or lease the software
- Remove or modify proprietary notices or labels
- Use the software to develop a competing product
- Circumvent license restrictions or camera limits
- Use the Home tier for commercial purposes
6. Telemetry
The software collects anonymous usage telemetry including camera count, feature usage, uptime, hardware information, and software version. This data is used to improve the product and validate license compliance. No video data, personal information, or camera footage is transmitted.
7. Support
Support availability depends on your tier. Free tier users have access to community forums. Home tier users receive email support. Professional and Enterprise tiers receive dedicated support as specified in the service agreement.
8. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
We may suspend or terminate your license if you breach these Terms. Upon termination, you must cease using the software and destroy all copies. Sections regarding liability, warranty disclaimers, and governing law survive termination.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the software. Continued use after changes constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of South Africa.
